Supplier Terms & Conditions
Mandatory acceptance required for platform registration. Last updated: April 2026.
By proceeding with onboarding on Expotal, you ("Supplier") agree to the following terms:
1. Platform Role & Scope
Expotal is a trade facilitation and matching platform.
Expotal connects suppliers with relevant buyers based on profile data, product specifications, and business capacity.
Expotal does not act as a buyer, seller, importer, exporter, agent, or contracting party in any transaction.
2. No Transaction Liability
All commercial dealings including but not limited to: Pricing, Payment terms, Advance / LC / escrow, Product quality, Quantity, Packaging, Documentation, Shipment timelines, Insurance and freight — are solely agreed between Supplier and Buyer.
Expotal does not guarantee, verify, or take responsibility for:
- Buyer intent or performance
- Payment realization
- Order fulfillment
- Disputes between parties
3. Independent Decision Making
The Supplier acknowledges that: All decisions to engage with any buyer are made independently. Expotal only provides matching and facilitation support. Supplier must conduct their own due diligence before entering any transaction.
4. No Guarantee of Business
Expotal does not guarantee: Orders, Buyer responses, Deal closures, Revenue generation. All outcomes depend on Supplier's product, pricing, competitiveness, and execution.
5. Profile Accuracy
The Supplier agrees that: All information provided is true and accurate. Any false, misleading, or incomplete information may result in suspension or removal from the platform.
6. Platform Usage
Access to features, buyer matches, RFQs, and tools is subject to profile evaluation and activation status. Expotal reserves the right to approve, restrict, or terminate access at its sole discretion.
7. Fees & Payments
Any onboarding, subscription, or service fees are non-refundable unless explicitly stated otherwise. Fees relate to platform access and facilitation services, not transaction outcomes.
8. Communication & Conduct
Supplier agrees to maintain professional communication with buyers. Any misuse, spamming, or unethical conduct may lead to immediate suspension.
9. Intellectual Property
All platform content, systems, processes, and data structures remain the property of Expotal. Unauthorized copying, misuse, or redistribution is prohibited.
10. Limitation of Liability
To the maximum extent permitted by law, Expotal shall not be liable for: Any direct or indirect loss, Loss of business, revenue, or profits, Delays, cancellations, or failed transactions, Any disputes arising between Supplier and Buyer.
11. Jurisdiction
All matters shall be subject to the jurisdiction as determined by Expotal.
12. Acceptance
By registering, accessing, or using the platform, the Supplier confirms that: They have read, understood, and accepted all terms. They agree to operate independently in all trade dealings.
13. Non-Circumvention & Platform Protection
The Supplier agrees that any buyer introduced, connected, or discovered through Expotal shall be treated as an Expotal-originated connection.
The Supplier shall not, directly or indirectly:
- Bypass the platform
- Engage, negotiate, or transact outside Expotal
- Share contact details with the intent to avoid platform involvement
Any attempt to circumvent Expotal's platform, including direct or indirect dealing with matched buyers outside the system, will be considered a material breach of terms.
In such cases, Expotal reserves the right to:
- Immediately suspend or terminate the Supplier's account
- Permanently blacklist the Supplier from the platform
- Restrict access to all current and future services
This clause shall remain applicable even after termination of platform usage.
