Buyer Terms & Conditions
Mandatory acceptance required for platform registration. Last updated: April 2026.
By registering or using Expotal, you ("Buyer") agree to the following terms:
1. Platform Role & Scope
Expotal is a trade facilitation and matching platform that connects buyers with relevant suppliers based on requirements, product specifications, and sourcing intent.
Expotal does not act as a seller, supplier, exporter, agent, or contracting party in any transaction.
2. No Transaction Liability
All commercial dealings including but not limited to: Pricing, Payment terms, Advance / LC / escrow, Product specifications, Quality standards, Quantity, Packaging, Shipment timelines, Insurance and freight — are directly agreed between Buyer and Supplier.
Expotal does not guarantee, verify, or assume responsibility for: Supplier performance, Product quality or compliance, Delivery timelines, Payment disputes or losses.
3. Independent Due Diligence
The Buyer acknowledges that: All decisions to engage with any supplier are made independently. Expotal provides matching and facilitation only. Buyer must conduct their own due diligence before entering any transaction.
4. No Guarantee of Supply
Expotal does not guarantee: Supplier availability, Order fulfillment, Pricing stability, Successful deal completion. All outcomes depend on Supplier capability and mutual agreement.
5. Requirement Accuracy
The Buyer agrees that: All RFQs, requirements, and specifications shared are accurate and genuine. Misleading, vague, or non-serious inquiries may lead to restriction or removal.
6. Platform Usage
Access to suppliers, RFQs, and communication tools is subject to approval and platform rules. Expotal reserves the right to approve, restrict, or terminate access at its sole discretion.
7. Fees & Payments
Any onboarding, subscription, or service fees are non-refundable unless explicitly stated. Fees relate to platform access and facilitation, not transaction outcomes.
8. Professional Conduct
Buyer agrees to maintain professional communication. Any misuse, spam, or unethical conduct may result in suspension.
9. Non-Circumvention & Platform Protection
The Buyer agrees that any supplier introduced, connected, or discovered through Expotal shall be treated as an Expotal-originated connection.
The Buyer shall not, directly or indirectly: Bypass the platform, Engage, negotiate, or transact outside Expotal, Share contact details to avoid platform involvement.
Any attempt to circumvent Expotal's platform will be considered a material breach.
In such cases, Expotal reserves the right to: Immediately suspend or terminate the Buyer's account, Permanently blacklist the Buyer from the platform, Restrict access to all current and future services. This clause remains applicable even after termination of platform usage.
10. Intellectual Property
All platform content, systems, processes, and data remain the property of Expotal. Unauthorized use or distribution is prohibited.
11. Limitation of Liability
To the maximum extent permitted by law, Expotal shall not be liable for: Any direct or indirect losses, Failed transactions, Supplier disputes, Delays or damages.
12. Jurisdiction
All matters shall be subject to the jurisdiction as determined by Expotal.
13. Acceptance
By registering or using the platform, the Buyer confirms that: They have read, understood, and accepted all terms. They agree to operate independently in all trade dealings.
